1. Scope of Application
These General Terms and Conditions (hereinafter referred to as "Terms") apply to all services offered by Bernd Roessler (hereinafter referred to as "Provider") including consultations, coachings, and seminars (hereinafter referred to as "Services").

 

2. Conclusion of Contract
The contract for the Services is concluded upon your (hereinafter referred to as "Client") acceptance of the Provider's offer and confirmation by the Provider. The offer can be made verbally, electronically, or in writing.

 

3. Service Description
A detailed description of the Services, including content, scope, and duration, will be provided by the Provider for each specific service. This description can be found on the Provider's website, brochures, or other promotional materials, or can be provided directly to the Client upon request.

 

4. Fees and Payment
The fees for the Services are as specified in the offer or service description. Fees may be charged per hour, per session, or for the entire program, depending on the Service. Payment terms will also be specified in the offer or service description. In the absence of specific terms, payment is due within 14 days of receiving the invoice.

5. Cancellation Policy
The Client has the right to cancel the Services upto 24 hours before the scheduled date and time for consultations and coaching sessions. For live and online seminars and workshops, cancellation must be received 7 days before the start date. Home Study courses and seminars can’t be canceled.

 

Cancellation Fees:

• Cancellation of consultations and coachings with less than 24 hours’ notice will result in a cancellation fee of 100% of the total fee.

• Cancellation of live and online seminars and workshops with less than 7 days' notice will result in a cancellation fee of 50% of the total fee.

 

No refunds will be granted for cancellations of live and online seminars and webinars with less than 3 days' notice or for no-shows.

 

The Provider reserves the right to cancel the Services due to unforeseen circumstances or insufficient participants (for seminars and workshops). In such cases, the Provider will notify the Client as soon as possible and offer a full refund of any fees paid.

6. Client Obligations

The Client is obligated to:

• Attend consultations, coaching sessions, and seminars as scheduled.

• Actively participate in the Services.

• Provide the Provider with all necessary information relevant to the Services.

• Comply with the Provider's instructions and guidelines.

• Treat the Provider and other participants with respect.

 

7. Provider Obligations
The Provider is obligated to:

• Deliver the Services according to the agreed-upon description.

• Maintain confidentiality regarding the Client's information.

• Act with due diligence and professionalism in providing the Services.

• Treat the Client with respect.

 

8. Disclaimer of Liability
The Provider is not liable for any damages resulting from the Client's failure to follow instructions or guidelines or for any personal decisions made by the Client based on the Services. The Provider's liability for any other damages, regardless of legal grounds, is limited to cases of intentional misconduct or gross negligence.

 

9. Intellectual Property
All materials provided by the Provider in connection with the Services are protected by intellectual property rights. The Client is not permitted to copy, distribute, or modify these materials without the Provider's written consent.

10. Confidentiality
The Provider is obligated to maintain confidentiality regarding all information disclosed by the Client during the Services. This obligation does not apply to information that is already publicly known or that the Provider is legally obligated to disclose.

11. Term and Termination

The terms of these Terms depend on the specific Service. Consultations and coaching sessions typically have a predetermined duration, whereas seminar and workshop registrations are valid for the specific event. These Terms may be terminated by either party with immediate effect for cause, such as a breach of these Terms or inappropriate behaviour by the Client.

12. Governing Law and Dispute Resolution
These Terms are subject to Germany's laws. In the event of any disputes arising from these Terms, the parties agree to seek an amicable resolution through mediation. If mediation fails, the dispute will be settled by the courts of Wuerzburg.

13. Severability Clause
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

 

14. Entire Agreement
These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
